Acceptance of Terms

By creating an account, joining a session, or otherwise using the Novera platform, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using the service on behalf of an institution, you represent that you have authority to bind that entity to these Terms.

Service Description

Novera is an educational platform designed for Entrepreneurship Through Acquisition (ETA) instruction. The service provides simulated business acquisition scenarios, team-based decision-making exercises, AI-generated feedback, and related educational tools. The platform is intended solely for educational and training purposes in academic and professional development contexts.

User Accounts

You may be required to create an account or join a session via a code provided by an instructor. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

Acceptable Use

You agree to use the Novera platform only for lawful educational purposes. You will not:

• Use the service for any purpose other than ETA education or training
• Attempt to gain unauthorized access to our systems, other accounts, or data
• Interfere with or disrupt the service or servers
• Use the service to distribute malware, spam, or harmful content
• Violate applicable laws, regulations, or institutional policies
• Impersonate another person or entity

Intellectual Property

The Novera platform, including its software, design, content, scenarios, and materials, is owned by Novera Business Labs and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the service in accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative works from our platform or content without our prior written consent.

No Financial Advice Disclaimer

The scenarios, data, and feedback provided through Novera are for educational purposes only. Nothing in the platform constitutes financial, investment, legal, or professional advice. Novera does not endorse any particular acquisition strategy, valuation method, or business decision. All simulated businesses and scenarios are fictional. Users should consult qualified professionals for real-world business and financial decisions.

Limitation of Liability

To the maximum extent permitted by law, Novera Business Labs and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service, including but not limited to loss of data, profits, or business opportunity. Our total liability for any claims arising from these Terms or the service shall not exceed the amount you paid us (if any) in the twelve months preceding the claim. Some jurisdictions do not allow certain limitations of liability; in such cases, our liability will be limited to the fullest extent permitted by law.

Account Termination

We may suspend or terminate your access to the Novera platform at any time, with or without cause or notice. Upon termination, your right to use the service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitations of liability, and governing law.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Indiana, without regard to conflict of law principles. Any dispute arising from these Terms or the service shall be resolved exclusively in the state or federal courts located in Indiana.
